1. Wholesale Use Only

2. Account Verification & Fraud Prevention
We reserve the right to request additional documentation to verify your identity and business legitimacy at any time, including but not limited to:

- Business license or resale certificate
- Proof of billing address

Orders may be delayed, canceled, or refused if verification cannot be completed to our satisfaction.

We reserve the right to refuse service to any customer suspected of fraud or unauthorized activity.

3. Pricing & Market Volatility
All pricing is based on the live gold market and is subject to change without notice.

Prices are not final until an order is confirmed and payment has been received. Once confirmed, pricing is locked for that transaction only.

We reserve the right to cancel or adjust orders in the event of pricing errors, system errors, or extreme market volatility.

4. Minimum Order Requirement
A minimum order of $5,000 USD is required. Orders below this threshold will not be processed.

5. Payment Terms
Full payment is required prior to order processing unless otherwise agreed in writing.

Accepted payment methods include bank wire, ACH, Zelle, or other approved methods.

For security purposes, we may require payment to originate from a verified account matching the business name.

Orders will not be released until payment has been fully received and cleared.

6. Chargebacks & Payment Disputes
By completing a purchase, you agree not to initiate chargebacks or payment disputes without first contacting us to resolve the issue.

Unauthorized chargebacks or disputes will be considered a breach of these Terms and may result in:
- Immediate account termination
- Permanent refusal of service
- Legal action to recover funds, damages, and associated fees

You agree to be responsible for all costs associated with wrongful disputes, including legal and collection fees.

7. Orders & Acceptance
All orders are subject to acceptance and availability.

We reserve the right to cancel, limit, or refuse any order at our sole discretion, including but not limited to:
- Suspected fraud
- Pricing errors
- Inventory limitations

8. Shipping, Insurance & Risk of Loss
All shipments are insured for their full value.

Risk of loss transfers to the buyer once the shipment is handed to the carrier.

Any claims for loss, damage, or discrepancies must be reported within 48 hours of delivery. Failure to do so waives any claim.

We are not responsible for delays caused by carriers, customs, or external factors beyond our control.

9. Signature & Delivery Requirements
We may require:
- Adult signature upon delivery
- Delivery to verified business addresses only

Failure to accept delivery or provide accurate shipping details may result in additional fees or order cancellation.

10. No Returns / Limited Exchanges
All sales are final. We do not accept returns under any circumstances.

Exchanges may be permitted solely at our discretion for unused and undamaged items.

Exchange requests must be submitted within 3 business days of delivery. Late requests will not be accepted.

11. Product Variations
Due to manufacturing tolerances, item weights and dimensions may vary slightly.

All products are sold based on approximate weight and standard industry variations.

12. Limitation of Liability
To the fullest extent permitted by law, Yaffa and Sons Jewelry shall not be liable for any indirect, incidental, or consequential damages.

Our total liability shall not exceed the amount paid for the specific order in question.

13. Indemnification
You agree to indemnify and hold harmless Yaffa and Sons Jewelry from any claims, damages, or liabilities arising from:
- Your misuse of the website
- Your resale or use of our products
- Your violation of these Terms

14. Governing Law & Venue
These Terms shall be governed by the laws of the State of Florida.

Any disputes shall be resolved exclusively in the courts located in Miami-Dade County, Florida.

You agree to submit to the jurisdiction of these courts.

15. Legal Fees
In the event of any dispute, you agree that the prevailing party shall be entitled to recover reasonable attorneys' fees and legal costs.
